1. Acceptance of Terms

By accessing the TonexMS platform, enrolling in courses, or engaging our consulting services, you agree to be bound by these Terms and Conditions. If you do not agree, please refrain from using our services.

2. Services & Delivery

• Training Services: TonexMS provides classroom-based, live-online, and self-paced training. We reserve the right to modify schedules or platforms, with reasonable notice provided to enrolled participants.
• Consulting & Advisory: Consulting engagements are subject to a specific Statement of Work (SOW). All deliverables are provided on a “best-efforts” basis, and TonexMS retains ownership of proprietary methodologies used during consulting.
• Advertising & Sponsorship: Placement of advertising and sponsorship materials is subject to availability and compliance with our brand guidelines. TonexMS reserves the right to reject material deemed inappropriate or non-aligned with our professional standards.

3. Payment & Invoicing

• Invoicing: Payments for courses and services are due as per the invoice terms. Failure to settle accounts within the specified period may result in the suspension of access to training portals or the halting of consulting deliverables.
• Cancellations: Cancellations for public training sessions must be received in writing at least 14 days before the start date. Late cancellations may incur a penalty fee as outlined in your specific course agreement.

4. Intellectual Property

All content provided by TonexMS, including course materials, whitepapers, digital dashboards, and methodology documentation, is the exclusive intellectual property of TonexMS. Participants and corporate partners are granted a limited, non-transferable license to use this content for their internal development purposes only. Redistribution or unauthorised reproduction is strictly prohibited.

5. Data Privacy & Compliance

TonexMS is committed to protecting your data. We collect, store, and process personal information in strict accordance with the Protection of Personal Information Act (POPIA).

6. Accreditation & Compliance

All accredited programs are subject to the regulations of the relevant SETA and QCTO. TonexMS provides audit-ready documentation, but it remains the responsibility of the corporate partner to ensure internal compliance with their specific B-BBEE and ESG reporting requirements.

7. Limitation of Liability

To the extent permitted by law, TonexMS shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability, whether in contract or tort, is limited to the fees actually paid by the client for the specific service in question.

8. Termination

Either party may terminate a service agreement upon written notice if the other party commits a material breach. Upon termination, all outstanding payments for services rendered must be settled immediately.

Governing Law

These terms are governed by the laws of the Republic of South Africa, and any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
